1. Acceptance of Terms
Welcome to NovaLearn! These Terms and Conditions ("Terms") govern your access to and use of the NovaLearn website, mobile applications, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Services.

Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms regularly.
2. User Conduct
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of or restrict or inhibit the use and enjoyment of the Services by any third party. Prohibited behavior includes, but is not limited to:

NovaLearn reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including, without limitation, removing the offending content and terminating the accounts of such violators.
3. Intellectual Property
The Services and their original content, features, and functionality are owned by NovaLearn Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, and non-transferable license to access and use the Services for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

You (and not NovaLearn) assume the entire cost of all necessary servicing, repair, or correction.

5. Limitation of Liability

6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree that any legal suit, action, or proceeding arising out of or relating to these Terms or the Services shall be instituted exclusively in the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of such courts.
7. Changes to Terms and Conditions
NovaLearn reserves the right to modify or replace these Terms at any time. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Services following the posting of any changes to these Terms constitutes acceptance of those changes. If we make significant changes, we will notify you either by email or through a prominent notice on our website.
8. Termination
NovaLearn may terminate your access to the Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
